1. Introduction
Welcome to 99 Ledgers, a provider of outsourced accounting, bookkeeping and financial services. By engaging with our services, you (“Client”) agree to these Terms & Conditions (“Agreement”). This Agreement governs the relationship between you and 99 Ledgers (“we”, “us” or “our”).
2. Scope of Services
We will provide services as detailed in a separate Statement of Work (“SOW”), engagement letter or mutually agreed proposal. Services may include bookkeeping, accounting, reconciliation, payroll processing, tax preparation support, MIS & reporting and related financial back-office support.
- Services will be performed with reasonable care, skill and professionalism.
- Any taxation, audit or regulatory compliance support will be provided only under a separate written engagement.
3. Client Responsibilities
- Provide accurate, complete and timely financial information, documentation and system access.
- Appoint a designated contact person for communications.
- Respond promptly to requests for information or clarification.
- Ensure that all information provided is lawful and does not infringe third-party rights.
- Maintain compliance with applicable tax and regulatory laws; we are not liable for penalties due to inaccurate or delayed information provided by the Client.
- Make timely payments for services rendered.
4. Fees & Payment
- Fees: As per the agreed SOW, engagement letter or proposal.
- Billing: Invoices will be issued [monthly/periodically/upon completion of the task or as agreed] and are payable upon receipt. Invoices are deemed delivered upon successful email transmission.
- Late Payment: Overdue balances may attract a late payment fee of [1.5% per month / maximum rate permitted by law].
- Disputes: Any billing disputes must be raised in writing within [5] days of invoice date.
- Indian Clients: GST will be applied as per applicable laws.
- Overseas Clients: Services qualifying as “export of service” shall be invoiced without GST (zero-rated).
- Currency: Unless otherwise agreed, invoices will be raised in INR or USD.
5. Confidentiality
- Both parties agree to maintain confidentiality of all non-public, sensitive or proprietary information, including financial records, client data and business information.
- Information will not be disclosed without prior written consent, except as required by law or as necessary to perform agreed services.
- Confidentiality obligations survive termination of this Agreement.
6. Data Security & Privacy
- We adopt reasonable safeguards to protect client data from unauthorized access, loss or misuse. No system is completely secure.
- Our data handling practices are detailed in our Privacy Policy.
- Clients remain responsible for ensuring their systems, data transmissions, and shared information are secure.
7. Limitation of Liability
- We are not liable for indirect, incidental, special or consequential damages, including lost profits, data or opportunities, arising from the use of our services.
- Our services rely on information provided by the Client; we are not responsible for errors, delays or penalties resulting from inaccurate, incomplete or late information.
- Except in cases of gross negligence or wilful misconduct, our maximum aggregate liability shall not exceed the total fees paid by the Client to 99 Ledgers in the 3 months immediately preceding the claim.
8. Intellectual Property
- All deliverables and work product created specifically for the Client belong to the Client once full payment is made.
- 99 Ledgers’ proprietary tools, templates, processes and methodologies remain our exclusive intellectual property.
- The Client grants us a limited, non-exclusive license to use their data solely for service delivery.
9. Term & Termination
- Commencement: Services begin upon execution of the SOW/engagement letter.
- Termination for Convenience: Either party may terminate services with 30 days’ written notice.
- Termination for Cause: Immediate termination permitted if a material breach occurs and is not remedied within 7 days.
- Post-Termination: All outstanding invoices become immediately due. Confidentiality and data protection obligations continue.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Disputes fall under the exclusive jurisdiction of the courts in Delhi/New Delhi, India.
11. Electronic Communication & Notices
All communications, including invoices and notices, may be provided electronically. Clients must ensure their contact information is current and systems can receive electronic communication.
12. Amendments
We may update these Terms. Continued use of our services constitutes acceptance of the revised Terms.
